  • "Agreement" refers to the contract between the Client and Rubab Corporate Services
  • "Government Authorities" refers to UAE federal and emirate-level government departments and agencies
  • "Confidential Information" includes all business, personal, and financial information shared during service provision

2. Services Provided

Rubab Corporate Services offers the following services in the UAE:

2.1 Company Formation Services

  • Mainland company formation and registration
  • Free zone company setup
  • Offshore company incorporation
  • Trade license issuance and renewal
  • Business activity registration and modification

2.2 Visa and Immigration Services

  • Investor and partner visa processing
  • Employment visa services
  • Family visa and residency services
  • Emirates ID processing
  • Medical test coordination

2.3 PRO and Government Liaison Services

  • Document clearing with government authorities
  • Government transaction processing
  • Document typing and translation
  • Ejari registration services
  • Labour and immigration compliance

2.4 Advisory and Support Services

  • Business structure consultation
  • Strategic business advisory
  • Office space solutions
  • Bank account opening assistance
  • Compliance and regulatory support

3. Client Responsibilities and Obligations

3.1 Information Accuracy

The Client must:

  • Provide accurate, complete, and truthful information
  • Update information promptly when changes occur
  • Ensure all documents are genuine and valid
  • Take responsibility for information provided

3.2 Document Requirements

The Client must provide:

  • Valid passport copies with UAE visa page
  • Emirates ID copies (if applicable)
  • Passport-sized photographs as per specifications
  • Educational and professional certificates (attested if required)
  • Business plan and financial projections (for new companies)
  • Memorandum of Association (MOA) and other corporate documents

3.3 Cooperation

The Client agrees to:

  • Respond promptly to requests for information or documents
  • Attend appointments as scheduled
  • Provide necessary signatures and authorizations
  • Comply with UAE laws and regulations

4. Fees and Payment Terms

4.1 Fee Structure

Our fees include:

  • Professional Service Fees: For consultancy and processing services
  • Government Fees: Actual fees charged by government authorities
  • Third-Party Fees: Fees for external services (translation, attestation, etc.)
Payment Stage Payment Requirement
Initial Engagement 50% of professional fees + 100% of estimated government fees
Document Submission 25% of remaining professional fees
Service Completion Remaining balance upon successful completion

4.2 Payment Methods

We accept:

  • Bank transfers to our UAE corporate account
  • Credit/debit card payments (with additional processing fees)
  • Cheques (subject to clearance)
  • Online payment gateways

4.3 Additional Costs

The Client is responsible for:

  • Any government fee increases after quotation
  • Additional services not included in the original agreement
  • Expedited processing fees (if requested)
  • Penalties or fines due to Client non-compliance

Important: All prices are quoted in UAE Dirhams (AED) unless otherwise specified. Government fees are subject to change without notice.

5. Service Timeline and Delivery

5.1 Estimated Timelines

While we strive to complete services promptly, timelines are estimates and depend on:

  • Government authority processing times
  • Document availability and completeness
  • Client cooperation and response times
  • Current workload and seasonal demand

5.2 Delays and Extensions

We are not liable for delays caused by:

  • Government authority backlogs or policy changes
  • Incomplete or incorrect documentation from Client
  • Client unavailability or delayed responses
  • Force majeure events (see Section 12)

6. Confidentiality and Data Protection

6.1 Confidentiality Obligations

We commit to:

  • Maintain confidentiality of all Client information
  • Use information only for service provision
  • Implement appropriate security measures
  • Not share information without consent (except as required by law)

6.2 Data Protection

Our data handling practices comply with:

  • UAE Federal Decree-Law No. 45 of 2021 on Personal Data Protection
  • Industry-specific regulations
  • Our Privacy Policy (available at rubabconsultants.com/privacy-policy)

7. Intellectual Property

All intellectual property rights in our website, materials, and methodologies remain our property. Clients may not:

  • Copy or reproduce our materials without permission
  • Use our proprietary processes for other businesses
  • Share confidential methodologies with third parties

8. Limitation of Liability and Indemnity

8.1 Limitation of Liability

Our liability is limited as follows:

  • Maximum liability equals the total fees paid for the specific service
  • We are not liable for indirect or consequential damages
  • We are not liable for government decisions or policy changes
  • We are not liable for Client business decisions or outcomes

8.2 Client Indemnity

The Client agrees to indemnify us against:

  • Claims arising from inaccurate information provided
  • Legal issues due to Client non-compliance
  • Third-party claims related to Client business activities

9. Termination of Services

9.1 Termination by Client

The Client may terminate services by:

  • Providing 7 days written notice
  • Paying for all services rendered up to termination date
  • Reimbursing non-refundable government fees paid

9.2 Termination by Rubab Corporate Services

We may terminate services if:

  • Client provides false or misleading information
  • Client fails to make required payments
  • Client engages in illegal activities
  • Client breaches these Terms

9.3 Refund Policy

  • Professional fees are non-refundable after service commencement
  • Government fees are non-refundable once paid to authorities
  • Refunds for unused services may be considered on a case-by-case basis

10. Dispute Resolution

10.1 Amicable Resolution

We strive to resolve disputes amicably through:

  • Direct discussion and negotiation
  • Mediation through mutually agreed mediators
  • Good faith efforts to reach resolution

10.2 Legal Proceedings

If disputes cannot be resolved amicably:

  • Jurisdiction: Dubai Courts, UAE
  • Governing Law: Laws of the United Arab Emirates
  • Language: All proceedings in Arabic (with English translation if needed)

11. Compliance and Legal Requirements

11.1 UAE Laws and Regulations

Both parties agree to comply with:

  • UAE Federal Commercial Companies Law
  • UAE Immigration and Residency Laws
  • Relevant Free Zone regulations (if applicable)
  • Anti-Money Laundering (AML) regulations
  • Economic Substance Regulations (ESR)

11.2 Anti-Corruption

We maintain a zero-tolerance policy towards:

  • Bribery and corruption
  • Unethical business practices
  • Money laundering activities

12. Force Majeure

We are not liable for failures or delays due to events beyond our reasonable control, including:

  • Natural disasters, pandemics, or epidemics
  • Government actions, regulations, or restrictions
  • War, terrorism, or civil unrest
  • Strikes, labor disputes, or utility failures
  • Internet or communication system failures
